Welcome to Ubá. These Terms of Use ("Terms") govern your access to and use of the Ubá platform, including our website, applications, and services (collectively, the "Service"). Ubá is a product of GritinAI Technologies Limited ("GritinAI", "we", "us", or "our"), a company registered in Nigeria.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using Ubá, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

2. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

You must notify us immediately at support@gritinai.com if you become aware of any unauthorised use of your account.

3. Use of the Service

You may use the Service only for lawful business purposes. You agree not to:

4. Subscription & Payments

Ubá offers both free trial and paid subscription plans. By subscribing to a paid plan, you agree to pay the applicable fees as described on our Pricing page. Fees are billed in Nigerian Naira (₦) unless otherwise stated.

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. We reserve the right to change our fees upon reasonable notice. Continued use of the Service after a fee change constitutes your acceptance of the new fees.

5. Your Data

You retain all rights to the data you upload, submit, or create through the Service ("Your Data"). By using the Service, you grant GritinAI a limited licence to host, store, process, and display Your Data solely for the purpose of providing and improving the Service.

You are solely responsible for the accuracy, quality, and legality of Your Data. We do not claim ownership of Your Data and will not sell it to third parties.

6. Intellectual Property

The Service, including its design, features, content, logos, and trademarks, is the exclusive property of GritinAI and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use the GritinAI or Ubá name, logos, or trademarks without our prior written consent.

7. Free Trial

We may offer a free trial period for new users. At the end of the trial, your account will be transitioned to a paid plan or suspended, depending on whether you provide valid payment information. We reserve the right to modify or discontinue the free trial at any time without notice.

8. Termination

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Service at any time, with or without cause, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days after termination, during which you may request an export. After 30 days, Your Data may be permanently deleted.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, GritinAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount you have paid to us in the 12 months preceding the claim.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Lagos, Nigeria.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms.
